§1

Scope

Scope of application of these terms

(1) These General Terms and Conditions (hereinafter “GTC”) of Umutcan Emre Tezgel, Lessingstraße 4, 35578 Wetzlar (hereinafter “Provider”), apply to all contracts for web design, web development, and digital services concluded between the Provider and its customers (hereinafter “Client”).

(2) The version of the GTC valid at the time of the conclusion of the contract is decisive. Deviating terms and conditions of the Client are not recognized unless the Provider expressly agrees to their validity in writing.

(3) These GTC apply to both consumers and entrepreneurs within the meaning of § 14 BGB.

§2

Definitions

Explanation of terms for these GTC

Provider

Umutcan Emre Tezgel, trading as “Coday”, based in Wetzlar.

Client

Natural or legal person who makes use of the Provider's services.

Project

The totality of all services to be provided as defined in the offer.

Revision

Round of changes to adapt design or functionality after intermediate acceptance.
§3

Conclusion of Contract

How a contract is formed

(1) The service descriptions and price information presented on the website in the offer do not constitute a binding offer, but an invitation to submit an offer (invitatio ad offerendum).

(2) By sending a project inquiry via the contact form or by email, the Client submits a non-binding offer.

(3) A contract is only concluded by the signing of a written offer by both parties or by express written acceptance via email.

(4) The Provider stores the contract text and sends the Client a confirmation by email. The contract text is no longer accessible to the Client after conclusion of the contract, except upon request.

§4

Scope of Services

What our services include

(1) The Provider provides web design, web development, and digital marketing services according to the individual offer. This may include:

  • Concept and Design of Websites and Web Applications
  • Frontend and Backend Development
  • Content Creation and Optimization
  • Search Engine Optimization (SEO)
  • Hosting Setup and Technical Configuration
  • Maintenance and Support (by agreement)

(2) The number of revision rounds agreed in the offer is binding. Standardly, up to three (3) revision rounds are included in the scope of services.

30-Day Guarantee

The Provider grants a 30-day bug-fixing guarantee from project handover. Technical errors attributable to the Provider's work will be remedied free of charge.

§6

Prices & Payment Conditions

Transparent Pricing

(1) All prices mentioned in the offer are net prices plus the statutory VAT of currently 19%.

(2) Payment is generally made in two installments:

1. Installment

50% upon order placement / contract signing

2. Installment

50% after completion and before handover

(3) For larger projects, deviating payment modalities (e.g., three installments) can be agreed upon.

(4) Invoices are payable within 14 days of receipt without deduction. In case of default of payment, default interest of 5 percentage points above the base rate will be charged.

§7

Fixed Price Guarantee

No hidden costs

Our Guarantee

The price mentioned in the offer is a binding fixed price. It does not change as long as no additional services are commissioned that go beyond the original scope of services.

(1) The fixed price covers all services defined in the offer, including the agreed revision rounds.

(2) Additional services exceeding the original offer will be offered and charged separately. Written commissioning is required.

(3) Changes to the project scope by the Client may lead to price adjustments. The Provider will inform about this in advance.

§8

Client Cooperation Duties

For successful cooperation

The Client ensures that the materials and information required for the execution of the project are provided in good time:

  • Texts, images, logos in printable quality
  • Access data to existing systems (if needed)
  • Styleguide or Corporate Design guidelines (if available)

Delays

Delays attributed to late delivery of materials or missing feedback can influence the project schedule. The Provider is not responsible for deadline delays in this case.
§9

Intellectual Property & Copyright

Rights to created works

(1) Upon full payment, all usage rights to the created works pass to the Client. This includes the right to unlimited use for business purposes.

(2) The copyright remains with the Provider. The Provider reserves the right to present the created works for reference purposes in their own portfolio, provided no confidentiality agreement exists.

(3) Source files (e.g. Design files in Figma, Sketch or Adobe XD) are only handed over if expressly agreed.

Source Code

The source code of the developed website or application is made available to the Client upon project completion, unless otherwise agreed.
§10

AI Services & Automation

Use of AI Technologies

Important Note

The AI assistant “Codi” available on this website and the Website Analyzer use automated systems to process requests.

(1) The AI services serve exclusively for information purposes and do not constitute legal, medical, or financial advice.

(2) Automatically generated content was created by machine and may contain errors.

(3) The Provider assumes no liability for the accuracy, completeness, or timeliness of the AI-generated information.

(4) Any liability for damages resulting from the use of AI-generated content is excluded to the extent permitted by law.

AI answers are particularly not suitable for:

  • Financial Decisions
  • Business Strategies
  • Legal Measures
  • Health-related Decisions
§11

Warranty & Defects

Our Quality Standards

(1) The Provider warrants that the services provided correspond to the agreed functional scope and are carried out professionally.

(2) Defects must be reported to the Provider in writing immediately after discovery. The Provider will remedy justified defects free of charge within the scope of subsequent performance.

Browser Compatibility

Websites are optimized for current versions of Chrome, Firefox, Safari, and Edge. Support for older browser versions can be agreed separately.

(3) The warranty period is 12 months from project handover, unless otherwise agreed.

§12

Limitation of Liability

Scope of our liability

(1) The Provider is liable without limitation in cases of intent and gross negligence as well as for damages from injury to life, body, or health.

(2) In case of slight negligence of essential contractual obligations (cardinal obligations), liability is limited to the typical, foreseeable damage.

(3) Any further liability is excluded to the extent permitted by law.

(4) The limitations of liability also apply in favor of the vicarious agents of the Provider.

§13

Confidentiality

Protection of sensitive information

(1) Both parties undertake to keep secret all confidential information received within the scope of cooperation and not to pass it on to third parties.

(2) Confidential information includes in particular trade secrets, customer data, technical details, and unpublished marketing strategies.

(3) This obligation continues to apply after termination of the contractual relationship.

§14

Termination & Resignation

Ending the contract

(1) For project-based contracts, ordinary termination is not provided for. The contract ends with the completion of the project.

(2) For maintenance or support contracts, termination is possible with a notice period of 30 days to the end of the month.

(3) The right to extraordinary termination for good cause remains unaffected.

Project cancellation by Client

In case of termination by the Client, the services provided up to that point will be invoiced. The deposit (50%) is non-refundable.
§15

Final Provisions

Legal Framework

(1) The law of the Federal Republic of Germany applies, excluding the UN Sales Convention.

(2) The place of jurisdiction for all disputes is Wetzlar, provided the Client is a merchant, a legal entity under public law, or a special fund under public law.

(3) Should individual provisions of these GTC be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by the statutory regulation.

(4) Amendments and supplements to this contract require the written form. This also applies to the waiver of this written form requirement.
